§ 5 Participation and representation

(1) Unless otherwise indicated by the chairperson, members of the Management Board take part in all meetings of the Supervisory Board in an advisory capacity.

(2) Non-members of the Supervisory Board and the Management Board may not participate in Supervisory Board meetings; experts and persons with specific knowledge may be consulted to advise on certain matters by order of the Supervisory Board. The Group auditor will be invited to meetings at which the annual financial statements are prepared and adopted and the consolidated financial statements are verified.

(3) A member of the Supervisory Board who is unable to attend a meeting may authorise another Supervisory Board member in writing to represent him or her at a specific meeting; the represented member must not be counted when determining whether a meeting is competent to pass resolutions.
